1. Parties and Acceptance of Term and Conditions
1.1 These General Terms and Conditions of Sale and Use (hereafter referred to as the "Terms and Conditions") apply to purchases of Baby von E. products ("Products") from the Swedish limited liability company von Eckermann Lifestyle AB, registration number 556971-8546, having its registered office at Käxlevägen 32, 646 51 Stjärnhov, Sweden, VAT number SE 556971 8546 01, with contact details email@example.com ("We", "Us", "Our", "VELSAB").
2.2 In case you are not an individual acting for purposes which are outside Your trade, business or profession and intend to resell the Products for commercial purposes, Our terms and conditions for resellers apply (“Reseller Terms”)
3. Placing an order
3.1 The Website may be used to order a selection of Our Products directly online via the Internet for delivery to the countries set out in section 10.
3.2 To place an order, You may at any time add Products to your SHOPPING BAG by clicking on "ADD TO BAG", after which you may choose to complete your order or continue shopping.
3.3 You may at any time view a summary of Your selected Products by clicking on the shopping cart icon in the top right corner or get a total overview by clicking on CHECK OUT where photograph(s) of the Product(s), reference/part number(s), description(s), stock status, the quantity selected, unit price(s), and the subtotal for the selection will be displayed. Based on the country You selected when entered babyvone.com or the country You select by clicking on CHANGE COUNTRY You can choose the associated shipping and payment methods (i.e. the country You have selected controls what shipping and payment methods are available for that particular country) in order to calculate the shipping and transaction costs, if any, and as a result view the total amount payable. Your total amount payable will include or exclude VAT depending on the country of delivery (include VAT if delivery is to end consumers and natural persons within EU and exclude VAT if delivery is to end consumers and natural persons outside EU).
3.4 Under Customer Information you can choose to shop with or without a customer account. If you select to shop without an account (default setting) you will be required to enter your contact information (First Name, Last Name, Address, Postal Code, City, Country (your country is already filed out with what you selected as your entered babyvone.com or what you selected under CHANGE COUNTRY), Phone number including country code, Cell phone number including country code and email address) on the Check Out Page.
3.5 If you would like to use another address as your shipping address than the address you entered in your contact information, you uncheck the "Use address from my address information" and enter your specific shipping address. Please note that if you select a different country to ship to than what you initially selected as your entered babyvone.com or selected under CHANGE COUNTRY, there is a possibility your already selected delivery and/or payment methods are not supported for your just selected shipping destination. The system will then give you an error asking you to choose a valid delivery and/or payment method for the country you entered in your shipping address. If you would like to ship your product to a country not listed on the initial babyvone.com landing page or in the list you get when you press CHANGE COUNTRY, please contact us through our "CONTACT US" page and we will try our very best to accommodate your request.
3.6 If you would like to shop with an account, you select "LOG IN" and enter your Username and Password if you already have created an account or press "Register here" if you are a new customer.
3.8 You must carefully check and verify that Your selection is correct before clicking the ["Continue" or “COMPLETE PURCHASE] button. We make every effort to ensure that the color and design of the Products in the photographs displayed on the Website correspond to those of the original Products, however, variations may occur, in particular due to color display constraints on Your computer equipment and as a result of each Product being handmade and unique in character. Consequently, We shall not be held liable for any error or insubstantial inaccuracy in the photographs or graphic representations of the Products included on the Website. In the event of queries regarding the Products, you may of course contact Us through our "CUSTOMER SERVICE" page.
3.10 We reserve the right to not accept any order placed by a customer if We have reasonable cause to suspect that such customer has violated these Terms and Conditions, or is engaged in any fraudulent activity, or on any other legitimate grounds.
4. Order Confirmation
4.2 In case We cannot process the order due to incomplete or incorrect information, or the Products are no longer available, We will inform You by e-mail that the contract has not been executed and that We have not carried out Your purchase order specifying the reasons thereof. If the order form has been sent and the price has been paid for items that are no longer available, We will refund the amount paid.
4.3 We advise you to keep this acknowledgement of receipt as a hard copy or in an electronic format.
4.4 To keep you informed of the status of your order and as we move your order through Our process, you will receive order status updates.
5. Personalized Products
5.1 We may offer Products to be personalized or customized at your choice ("BESPOKE"). Please contact us using the CONTACT US form to discuss your bespoke product.
5.2 Please note that BESPOKE or Products with any form of customization waive your Right of Withdrawal and are therefore not eligible for returns.
6. Availability of Products
6.1 Our Product offers and prices are valid as long as they remain visible on the Website, subject to availability. Exceptionally, errors or changes may occur. If a Product is not available after You have placed Your order, We will inform You of such unavailability by email or as soon as possible. You will then be presented with the choice to order an alternative Product from the Website or to cancel your order and get refunded in case any payments have already been done.
6.2 We shall not be liable if Products are out of stock or unavailable for orders that have not yet been accepted by Us.
6.3 We reserve the right to change the Products offered on the Website at any time and without any prior notice. In order to improve service quality and ensure greater availability of our Products for all customers of the Website, We reserve the right to limit the number of Products which can be purchased per customer, in accordance with relevant applicable provisions.
7.1 Depending on the country You selected with first entered babyvone.com or when clicking on CHANGE COUNTRY, the price is quoted in SEK (Swedish krona), EUR (Euro) or USD (US dollars) inclusive of taxes and the price will be debited in SEK, EUR or USD on the debit day.
7.2 We reserve the rights to amend the prices of the Products on the Website at any time and without any prior notice. All orders are payable in SEK, EUR or USD and must be paid for immediately at the time of ordering for the order to be processed.
8.1 We accept payment by the following credit cards and debit cards: Visa, MasterCard.
9. Title Retention
9.1 The Products ordered remain the property of Us until full payment for the Products has been received by Us.
9.2 However, you assume the risks (in particular regarding loss, theft or damage) relating to the delivered Products from the moment they are delivered to the address specified when placing Your order.
10. Shipping Area
10.1 Products purchased via the Website may only be delivered to the countries outlined one the page You first arrive to when visiting babyvone.com or the page when clicking on CHANGE COUNTRY
10.2 The Products will be shipped to the delivery address specified when placing your order or to a drop off point if the.
11. Shipping Costs
11.1 The cost of shipping will be added to your order, as described in connection with each Product.
11.2 For returns for other reasons than damaged, faulty or defective Products, such as if You use Your right of withdrawal or wish to exchange a Product, You will pay the shipping cost.
12. Time required for Delivery
12.1 The approximate delivery is outlined together with each offered delivery option on the checkout page.
13. Delivery Problems
13.1 Any failure to deliver, late delivery, unavailability or delay in availability of your Products, exceeding the delivery times must be reported to Us as soon as possible. No claims notified to us more than thirty (30) calendar days from the date of confirmation of Your order will be taken into account.
14.1 You cannot exchange a purchased product. However, if you are not satisfied with your order You can return it in accordance with section 15. Returns – Right to Withdrawal.
15. Returns - Right to Withdrawal
15.1 You as a consumer have a legal right of withdrawal of Your order, if You meet the conditions set down by these provisions, without having to provide reasons and without having to pay any penalties.
15.2 If You wish to withdraw Your order, You must notify Us in writing within 14 calendar days, beginning on the day You receive the order, to von Eckermann Lifestyle AB, Käxlevägen 32, 646 51 Stjärnhov, Sweden (You may use the EU Withdrawal Form, download here, to give Us notice of Your withdrawal) or through our "RETURN" page.
15.3 You should return the Products to Us within fourteen (14) calendar days from the date You notify Us of the withdrawal, in the same condition in which You received the Product and at Your own expense. The Products must be returned in their original condition and packaging, together with their purchase invoice. Please outline under MESSAGE section on our RETURN page if you need further information on return shipping.
15.4 You have a legal obligation to take reasonable care of the Product whilst it is in your possession. If you fail to comply with this obligation, we may have a right of action against You for compensation.
15.5 We will not be liable if any Product You wish to return is lost, sent to the wrong address or delivered late insofar as You must bear the risks of the shipment method you have chosen and initiated.
15.6 If You follow these conditions You will receive a full refund of the price of the Products. Please be informed that Personalized Products or Products with any form of customization are not eligible for returns.
15.7 To return the Product:
- You should notify Us in writing within fourteen (14) calendar days, (beginning on the day you receive the Products by contacting Us through our "RETURN" page or via regular mail. Once we receive your notification, we will confirm the receipt of your message and your notification to withdrawal. You may, but You are not obliged to, use the EU Withdrawal Form provided (download here) to give notice. You should keep a record of your notice;
- the Product must not have been used, worn, washed or damaged;
- the Product should be returned with its original packaging, tags and all its content;
- the Product should be returned to Us within fourteen (14) calendar days of the date You notify Us of your decision to withdrawal/return.
15.9 Once Your Product has arrived we will be able to reimburse You.
16. Restrictions on the right to withdrawal
16.1 The right of withdrawal does not apply in relation to Personalized or customized Products (“BESPOKE”).
17. Returns - Defective or Wrong Product
17.1 If We ship Your the wrong Product or the Product has a defect We would like You to report that to Us as soon as possible, but no later than seven (7) days after receiving the Product, so We can replace the incorrect or defective Product. Please contact Us through our "RETURN" page. In case of an incorrect Product or a defective Product, You will not be charged for the shipping cost for return shipping.
17.2 If a Product becomes faulty after the seven (7) days please contact Us through our “RETURN” page to receive further returns information. You must return the Product in the same condition in which You received it. You have a legal obligation to take reasonable care of the Products whilst they are in Your possession. If you fail to comply with this obligation, We may have a right of action against You for compensation.
18. Return inspection and refund process
18.1 We will examine all Products returned as damaged or defective and will notify You of Your refund via e-mail within a reasonable period of time. Subject to acceptance by Us of the damaged or defective goods, Products returned by You because they are damaged or defective will be refunded in full. In the event that We do not find any fault with the returned Product, You will be notified that the returned Product cannot be accepted and You may elect to have the Product re-delivered to You. If You do not accept re-delivery We reserve the right to retain the Products and the purchase price and recover Our fees and expenses from You.
18.2 You will be notified if the returned products cannot be accepted. In this case, you may choose to have the products delivered to you at no expense to Us. If you refuse the above delivery, We reserves the right to retain the products and the amount paid for your purchase of the products.
18.3 Without limiting the paragraph above, the cancellation right set out above does not apply to: (a) sealed Products unsealed by you following delivery, where return of such products is unsuitable due to health protection or hygiene reasons; (b) Products which are made to your specifications or clearly personalized; or (c) Products which have become inseparably mixed with other items after delivery.
18.4 You may be liable for, and we may deduct from any refund due to You, any diminution to the value of the returned products caused by your handling of the products, save to the extent necessary to ascertain the characteristics, functions or nature of the products.
18.5 If the recipient of the Products indicated in the order form is different from the individual who made the payment for such Products, the amount paid for returned items will be refunded by Us to the individual who made the payment.
18.6 We will usually refund any money received from You using the same method originally used by You to pay for the purchase, unless expressly agreed otherwise. Please note however that Your bank may take longer to process the refund.
18.7 We will refund the price of the Products in accordance with the applicable time frame as specified above. To the extent permitted by applicable law, We shall not be responsible for any delay that is beyond its control including for delays caused by the method of purchase or refund.
20. Intellectual Property
20.1 All materials featured on the Website such as drawings, designs, pictures, models, illustrations, images, sound tracks, texts, logos, layouts, processes, trademarks etc (collectively, "Content") are the exclusive property of von Eckermann Lifestyle AB. You may not reproduce, by any means or process, totally or in part, distribute, publish, transmit, display, create derivative works based on, modify or sell or exploit in any way, in whole or in part, any such Content.
20.2 The "Baby von E.” trademark, and the logo and all other related trademarks and logos, whether or not registered, displayed on the Website, as well as the domain name "babyvone.com and babyvone.se", are and will remain the exclusive property of von Eckermann Lifestyle AB. Any reproduction, distribution, transmission, modification or use of these trademarks for any purpose whatsoever without prior and express agreement is prohibited.
20.3 You may not remove any copyright notice, trademark or other proprietary notice contained on the Website or any content contained therein.
20.4 We shall have the exclusive right to authorize or prohibit in Our sole discretion any reproduction, publication, distribution, display, modification, creation of derivative work from, or exploitation in any way of, in whole or in part, the Content. We shall have the right, at any time, to claim the authorship of any Content posted on this Site and to object to any use, distortion or other modification of such Content.
20.5 Any reproduction, publication, distribution, display, modification, creation of derivative work from, or exploitation in any way of, the Content expressly authorized in writing by Us shall be carried out by You for lawful purposes only and in compliance with all applicable laws.
21.1 The Website may contain links to third party websites that are not published or controlled by Us. Such links are provided as a convenience only and cannot, and may not be interpreted as, an express or implied endorsement of such websites, their content or any products or services offered thereon.
21.2 We do not control or monitor such third party web sites or their contents and We shall not be held liable for the contents of such sites and/or for the rules adopted by them in respect of, but not limited to, Your privacy and the processing of Your personal data when You are visiting those web sites. Please, pay attention when you access these web sites through the links provided on the Website and carefully read their terms and conditions of use and their privacy policies. Our Terms and Conditions do not apply to the websites of third parties.
22. Warranty and Disclaimer of Warranty
22.1 The Products sold on the Website are subject to the terms of legal warranties provided for in Sweden.
22.2 The main characteristics of Products are shown on babyvone.com on each Product page. The Products offered for sale on the Website may not exactly correspond to the image and colors due to the Internet browser or monitor used. Further, all Products are handmade which means that no two Products are identical and due to slight variations in the individual handcraft methods of our colleagues, certain elements and details may differ from one Product to another.
22.3 Our Products are handmade and We use fine and sometimes delicate materials in Our Products. It is of the utmost importance that You follow any care instructions provided on the Product or otherwise recommended by Us. We recommend that You do not clean Your Product if such handling is not necessary. The Products will last longer and keep their exclusive nature longer if You choose to air the Product rather than dry clean. When You do choose to dry clean, You must ensure that You use an authorized and qualified dry cleaner to clean the Product and who understands the nature of the materials.
22.4 We do not warrant or represent that:
- the Website is free from viruses, data overwriting programs, Trojan horses or other destructive material;
- the information contained on the Website is accurate, complete or up to date.
22.5 The Website may contain technical inaccuracies or other defects and We does not warrant that such defects will be corrected. The Website and its contents are provided on an "as is" and "as available" basis. We expressly disclaim all warranties of any kind, including without limitation, any implied warranty regarding the usual conditions of use of the Website or the adequacy of the Website for a usual or specific use, its quality or compliance with all statutory provisions. This limitation of liability shall apply to the fullest extent permitted by law.
22.6 You will be liable for your use of the Website and its contents. We shall not be considered liable for any use of the web site and its contents made by its users that is not compliant with the laws and regulations in force, without prejudice to Our liability for intentional torts and gross negligence.
22.7 We have adopted measures to ensure that the content of babyvone.com is accurate and does not contain any incorrect or out-of-date information. However, We cannot be held liable for the accuracy and completeness of the content, except for its liability for tort and gross negligence and as otherwise provided for by the law.
23. Limitation of Liability
23.1 We shall not be liable for any indirect, incidental, special or consequential damages, including, without limitation, loss of profits, operating loss or loss of opportunity arising out of the purchase of Products on the Website or Your use of the Website. This limitation of liability shall apply to the fullest extent permitted by law.
23.2 We shall not be liable for any damages, direct or indirect, resulting from Your breach of or failure to comply with the Terms of Conditions or instructions or information provided directly by Us. In no event shall Our liability exceed the money paid for the Product that is the reason of a dispute.
23.3 We will not be liable or responsible for any failure to perform, or delay in performance of, any of Our obligations under a contract that is caused by an any act or event beyond Our reasonable control including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
24.1 Each of the paragraphs of these Terms and Conditions operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.
25. Amendments and updates
25.1 The Terms and Conditions may be amended from time to time due to new laws and regulations or other reasons. The new Terms and Conditions shall be effective as of the date of publication on babyvone.com. If You do not agree to all or part of the Terms and Conditions, please do not use the Website.
26. Governing Law
26.1 These Terms and Conditions shall be governed by and construed in accordance with Swedish law.
